Waiver, Release, and Content License
 

1. Content License. By submitting this nomination, I grant Sprout Social, Inc. ("Sprout Social") a perpetual, irrevocable, worldwide, royalty-free, non-exclusive, transferable, and sublicensable license to use, reproduce, distribute, display, modify, edit, create derivative works from, and otherwise exploit all submitted content, including any video, written responses, photographs, company names, trademarks, and logos (collectively, "Submission Content"), as well as my name, likeness, voice, image, job title, and company affiliation, in any media or channel now known or hereafter developed, for any lawful promotional, marketing, or advertising purpose, including paid media, social media (including Social Media Day promotions), events, and press materials.

2. Publicity Materials Review. Sprout Social may share publicity materials incorporating the Submission Content with the PR contact designated in this form. If Sprout Social does not receive feedback within five (5) business days of delivery, the materials will be deemed approved and may be published without further notice or consent.

3. Representations and Warranties. I represent and warrant that: (a) I am at least 18 years of age and have the authority to enter into this agreement on behalf of myself and, to the extent applicable, my company; (b) the Submission Content does not infringe any third party's rights or violate any applicable law; (c) I have obtained all necessary releases from every individual who appears or is identified in the Submission Content; and (d) I have the right to grant the licenses herein, including for any company trademarks or logos included.

4. Release; No Compensation. I, on behalf of myself and my company, release Sprout Social and its officers, directors, employees, agents, and affiliates from any claims arising out of Sprout Social's use of the Submission Content as permitted herein. Submission does not guarantee selection as a winner, and Sprout Social may use any Submission Content regardless of selection outcome. No monetary compensation is owed for the submission or use of the Submission Content. Any physical award or promotional items provided to winners constitute the sole consideration for participation.

5. Governing Law. This agreement is governed by the laws of the State of Illinois, without regard to conflict of laws principles.
