1. Eligibility: This promotion (the “Promotion”) is open only to (i) legal residents of the 50 United States excluding Hawaii, (ii) the District of Columbia (“D.C.”), (iii) Puerto Rico, (iv) Guam, (v) American Samoa, and the (vi) U.S. Virgin Islands (the “Territory”) who: (a) are 21 years of age or older as of October 26, 2023, and (b) are located in the Territory at the time of entry. The Promotion and any websites, web pages and advertisements relating thereto are intended for viewing only within the Territory. Employees, contractors, directors and officers of Sprout Social, Inc. (“Sprout Social” or “Sponsor”) and their respective parents, subsidiaries and affiliated companies, retailers, sales representatives, dealers, distributors, licensees and the advertising, fulfillment, judging and promotion agencies involved in the development and administration of this Promotion, and each of their respective officers, directors, employees and agents (collectively, “Promotion Parties”), and their immediate family members (parent, step-parent, child, step-child, sibling, step-sibling, and spouse of each, regardless of where they reside) and those living in the same households of each (people who share the same residence at least three (3) months out of the year, whether related or not) are not eligible. Void outside the 50 United States/D.C and where prohibited by law. Entries received from persons residing outside the Territory, or where restricted or prohibited by law, will be disqualified. Sprout Social is the administrator and sponsor of this Promotion. The Promotion is subject to all applicable United States federal, state and local laws and regulations. Your participation constitutes your full and unconditional agreement to these Official Rules and Sponsor’s decisions, which are final and binding in all matters related to the Promotion. Winning a prize is contingent upon fulfilling all requirements set forth herein.

2. Promotion Period: The Promotion begins at 11:30 a.m. Central Time (“CT”) on 26 October 2023 and ends at 11:59 p.m. CT on 30 October 2023 the “Promotion Period”.

3. How to Enter: NO PURCHASE NECESSARY TO ENTER OR WIN. To enter the promotion, during the Promotion Period answer and reply to one of the outline discussion questions located here.”

Limit: One (1) entry per person/household, regardless of the method of entry. Subsequent entries will be disqualified. All submissions must be received during the Promotion Period.

You are not a winner until your prize claim is validated and you receive official notification from the Sponsor. All entries become the exclusive property of the Sponsor and will not be acknowledged or returned except as provided herein. Entries that are incomplete, incorrect, incomprehensible, illegible, damaged, altered, counterfeit, obtained through fraud, not received, late, or do not otherwise comply with these Official Rules will not be entered into the Promotion. You may not enter more times than indicated by using multiple email addresses, identities or devices, or use other fraudulent methods, in an attempt to circumvent the rules. Entries made by facsimile, email automated means, or in any other manner not specifically allowed under these Official Rules will not be entered into the Promotion. If a dispute cannot be resolved, the entry will be deemed ineligible.

4. Prizes, Approximate Retail Value (“ARV”):

There will be a total of 5 prizes awarded. Each prize has an estimated aggregate retail value of $100 and will consist of a branded Port Authority Document Tote, Moleskine Large Journal, Modern Sprout Daisies Kit, 16.9oz Bell Echo Bottle, and a EOS Lip Balm.

Total ARV of all prizes available in this Promotion is $500 USD. No substitution, cash redemption or transfer of prizes is permitted except at Sponsor’s sole discretion or as provided herein. If the advertised prize cannot be awarded for any reason, Sponsor reserves the right to substitute a prize of equal or greater value. All federal, state and local income taxes on the prizes and all other costs associated with acceptance or use of the prizes are the sole responsibility of the winners. Arrangements for delivery of prizes will be made after winner validation. Winners of the Promotion will be selected in a random drawing under the supervision of Sponsor. Winners will be notified via email to the email address they entered the Promotion with within five (5) days following the winner selection. Sprout Social and the Promotion Parties shall have no liability for a winner’s failure to receive notices due to winners’ spam, junk email or other security settings or for winners’ provision of incorrect or otherwise non-functioning contact information. Return of any notification email as “undeliverable” will result in disqualification. If a selected winner cannot be contacted, is ineligible, fails to claim their prize within 72 hours from the time award notification was sent, or fails to timely return a completed declaration and/or releases as required, the prize may be forfeited and an alternate winner selected. 

The receipt by a winner of a prize offered in this Promotion is conditioned upon compliance with any and all federal, state and local laws and regulations. ANY VIOLATION OF THESE OFFICIAL RULES BY ANY WINNER (AT SPONSOR’S SOLE DISCRETION) WILL RESULT IN SUCH WINNER’S DISQUALIFICATION AS WINNER OF THE PROMOTION AND ALL PRIVILEGES AS WINNER WILL BE IMMEDIATELY TERMINATED. 

5. General Rules: All applicable federal, state and local laws apply. All potential winners will each be contacted by email and may be required, at Sponsor’s discretion, to complete, sign and return an affidavit of eligibility, a liability release, and where lawful, a publicity release within a stated amount of time. The return of any notification as undeliverable, or failure to respond to notices or return any required documents in a timely manner, or a determination that a potential winner is ineligible or not in compliance with these Official Rules, as determined by the Sponsor, may result in disqualification of the Entrant and forfeiture of the corresponding prize. By participating in this Promotion, Entrants agree to abide by and be bound by these Official Rules and decisions of the Sponsor, which shall be final in all matters relating to the Promotion. No Entrant or winner shall have the right to contest any decision by Sponsor or the Promotion Parties concerning any aspect of the Promotion or the interpretation of these Official Rules or the determination as to the qualification of entries/Entrants/ Proof of entry is not proof of entry receipt. 

Promotion Parties are not responsible for: (i) electronic or digital transmissions or entries that are lost, late, stolen, incomplete, illegible, damaged, garbled, destroyed, or misdirected; (ii) any problems or technical malfunctions, errors, omissions, interruptions, deletions, defects, delays in operation of transmission, communication failures (including but not limited to failures or malfunctions of phone lines, telephone systems, mail delivery, or other communications systems), destruction of or unauthorized access to, or alteration of, entries; (iii) failed or unavailable hardware, network, software or telephone transmissions, printing errors or errors caused by any of the equipment or programming associated with or utilized in the Promotion; (iv) damage to entrants' or any person's computer; (v) causes beyond Promotion Parties’ reasonable control that jeopardize the administration, security, fairness, integrity or proper conduct of this Promotion; (vi) incorrect or inaccurate entry information whether caused by entrants or by any of the equipment or programming associated with or utilized in the Promotion; (vii) any typographical or other error in the printing or advertising related to the Promotion, in the administration or execution of the Promotion, or in the announcement/notification of prize winners; (viii) technical or human error which may occur in the administration of the Promotion or receipt or use of any prize; (ix) the quality and actions of any business in which a winner uses the prize and any damages that may allegedly arise out of any use of the prize;  (x) cheating or fraud by any participant; or (xi) any claims made by an Entrant, prize winner, or any other third parties, related in any way to the operation of this Promotion as well as any other claims, damages or liability due to any injuries, damages or losses to any person (including death) or property of any kind resulting in whole or in part, directly or indirectly, from receipt, acceptance, possession, misuse or use of a prize or participation in any Promotion-related activity or participation in this Promotion. All incomplete or non-conforming entries will be disqualified.

If for any reason this Promotion cannot be executed as planned, including but not limited to infection by virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of Sponsor that corrupt or affect the security, administration, fairness, integrity or proper conduct of this Promotion, or if this Promotion is compromised or becomes corrupted in any way, electronically or otherwise, Promotion Administrator reserves the right, in its sole discretion, to suspend or terminate this Promotion. If the Promotion is terminated before the stated end date of the Promotion Period, the Promotion Administrator will select any remaining winners in a random drawing from among all eligible, non-suspect entries received through all entry methods combined as of the time/date of termination.

The Sponsor, in its sole discretion, reserves the right to cancel, suspend and/or modify the Promotion, or any part of it, if any fraud, technical failures, virus, bugs, non-authorized human intervention, or any other factor beyond the Sponsor’s reasonable control impairs the integrity, administration, security, fairness or proper functioning of the Competition, as determined by the Sponsor in its sole discretion. Sponsor reserves the right, at its sole discretion, to disqualify and prosecute any individual who tampers with or attempts to tamper with the entry process or who enters using any automatic or programmed entry duplication method, or any entry service. Any attempt by any person to deliberately undermine the legitimate operation of the Promotion may be a violation of criminal and civil law, and, should such an attempt be made, the Promotion Parties reserve the right to seek damages from any such person to the fullest extent permitted by law. The Promotion Parties’ failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

CAUTION: ANY ATTEMPT BY ANY PERSON TO DELIBERATELY CORRUPT OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROMOTION MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO DISQUALIFY, PROSECUTE AND SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.

In the event of a dispute regarding the identity of the person submitting an entry, the entry will be declared made by the person in whose name the entry was made or, if Entrant’s name is not known, then by the authorized account holder of the Sprout Social account username submitted at time of entry.

6. Release & Waiver: By participating in this Promotion, entrants agree to release, discharge and hold harmless Promotion Parties from and against any and all liability, loss, injuries or damages associated with participation in this Promotion or the acceptance, possession, use or misuse of any prize received in this Promotion. By participating in this Promotion, entrants waive all rights to claim punitive, indirect, incidental and consequential damages, attorneys’ fees or any damages other than actual out-of-pocket costs incurred to participate.
7. Disputes/Venue/Governing Law: By participating in this Promotion, you understand and agree that any dispute, cause of action or claim (“Claim”) arising out of, related to, or in connection with this Promotion between you and any of the Promotion Parties shall be brought and resolved exclusively by individual binding arbitration, without resort to any form of class action, in accordance with the rules and procedures of the American Arbitration Association (“AAA”) in effect at the time the Claim is filed. A copy of the AAA rules, forms and instructions for initiating an arbitration are available at www.adr.org or by calling (800) 778-7879.  In an arbitration, a dispute is resolved by an arbitrator, or a panel of arbitrators, instead of a judge or jury.  As such, you hereby waive the right to go to court, including the right to a jury, act as a class representative or participate as a member of a class of claimants with respect to any Claim submitted to arbitration or litigation, regarding any Claim you have against any or all Promotion Parties.  Prior to filing a Claim for arbitration with the AAA, each party agrees to attempt to resolve the Claim informally by notifying the other party in writing of the issue(s) underlying the Claim and both parties shall work in good faith to resolve such issue(s). To initiate an informal resolution to a Claim with Sponsor, you must send a notice by first class United States mail to Sponsor at Sprout Social, Inc., 131 S Dearborn St Ste 700, Chicago, IL 60603, Attention: General Counsel, Promotion Dispute Resolution Request. To informally resolve a Claim with another one of the Promotion Parties, you must send the notice and resolution request through their registered agent.  If such resolution attempts are unsuccessful, a party may thereafter file a Claim with the AAA. No party start a formal proceeding for at least 60 days after notice of an informal claim is made.  If you file and prevail on a Claim, Sponsor will reimburse you for your filing fees and costs in connection with the Claim.  You may elect to opt-out of arbitration by sending a letter (an “Arbitration Opt-Out Notice”) to Sponsor at the address above, Attention: General Counsel: Promotion Dispute Arbitration Opt-Out.  The Arbitration Opt-Out Notice must include (1) your first and last name; (2) your postal mailing address; (3) phone number; (4) email address; and (5) a clear statement that you do not wish to resolve disputes with Sponsor through arbitration.  The Arbitration Opt-Out Notice must be received no later than thirty (30) days from the date you were entered in the Promotion. The Arbitration Opt-Out will apply only to Claims arising under this Promotion and is not a general arbitration opt-out of all Claims with Sponsor or any Promotion Party.  In the event this Dispute Resolution provision is held unenforceable, in whole or part, you agree that all Claims shall be (i) governed by and interpreted under the laws of the Illinois, U.S.A., without regard to its conflicts of laws provisions that may require the application of the laws of another jurisdiction, and (ii) brought and heard exclusively in the federal or state courts sitting in Chicago, Illinois, and you expressly consent to the jurisdiction of and venue in such courts and you waive all defenses of lack of jurisdiction and inconvenient forum with respect to such courts. In such cases, you agree to service of process by mail or other method acceptable under the laws of the State of Illinois.  ANY CLAIMS, JUDGMENTS AND/OR AWARDS SHALL BE LIMITED TO ACTUAL OUT-OF-POCKET COSTS ASSOCIATED WITH ENTERING THIS PROMOTION. YOU HEREBY WAIVE ANY RIGHTS OR CLAIMS TO ATTORNEY’S FEES, INDIRECT, SPECIAL, PUNITIVE, INCIDENTAL OR CONSEQUENTIAL DAMAGES, WHETHER FORESEEABLE OR NOT AND WHETHER BASED ON NEGLIGENCE OR OTHERWISE, AND ANY AND ALL RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU.

The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein.

In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Promotion-related materials or notifications and the terms and conditions of these Official Rules, these Official Rules shall prevail, govern and control.

8. Publicity: Acceptance of a prize constitutes permission for the Sponsor and its agencies to use winners’ names and likenesses for purposes of advertising and publicity in all media worldwide without further compensation or notice, unless prohibited by law. By participating in this Promotion, you agree that this consent is perpetual and cannot be revoked (TN residents will not be required to sign a Publicity Release as a condition of winning a prize).

9. Terms & Privacy: Participation in this Promotion is subject to the Arboretum’s Terms of Use located at https://community.sproutsocial.com/site/terms. By entering this Promotion, you agree to adhere to the terms, policies and guidelines described in the above Terms of Use. The personal information collected through this Promotion is subject to Sprout Social Privacy Policy located at https://sproutsocial.com/privacy-policy/. By entering this Promotion, you agree to the use of your personal information as described in the above Privacy Policy. In the event of any conflict between these Official Rules and Arboretum Terms of Use or the Sprout Social Privacy Policy, these Official Rules shall take precedence.

10. Winners’ List: For the Names of the Prize Winners— available after October 30, 2023 - check the Arboretum website or send a self-addressed, stamped #10, business envelope to: Sprout Social Sweepstakes Winners List, Sprout Social, Inc. 131 S Dearborn St Ste 700, Chicago, IL 60603. Requests must be received no later than October 27, 2023. You cannot enter the Promotion using this address. Entries mailed to this address will be discarded.
